我国钢铁企业高管政治关联程度与并购绩效的关系研究

摘 要：为了探讨我国钢铁企业上市公司高管政治关联程度与并购绩效之间的关系，以2005”2014年我国钢铁行业中107起上市公司并购事件为样本，采用多元线性回归模型，对47家钢铁上市公司的经验数据进行实证分析，研究结果表明：①企业高管政治关联程度越强，对企业并购绩效抑制作用就越明显；②与并购不同行业的目标公司相比，并购相同行业的目标公司其高管政治关联程度对企业并购绩效的抑制作用更强；③与并购不同地区的目标公司相比，并购相同地区的目标公司其高管政治关联程度与并购绩效之间并无显著差异；④与非现金支付方式相比，现金支付方式对高管政治关联程度与并购绩效的抑制作用更强。最后，在实证研究结论的基础之上，从政府层面和企业层面提出了促进企业并购绩效提升的政策建议。

Abstract：In order to explore the relationship between executives’ political affiliation and mergers and acquisitions performance of China’s iron and steel enterprises listed companies，this paper takes 107 listed companies in China’s iron and steel industry from 2005 to 2014 as samples，using multivariate linear regression model to analyze 47 listed companies’ empirical data，the results show that：①the establishment of a political association and corporate performance shows a negative correlation；The stronger the degree of political connection，the greater the impact on the performance of corporate mergers and acquisitions；②compared with the merger of target company in the same industry，the degree of political effect on the performance of M&A negatively will be stronger when the merger of target company in different industry；③compared with the merger of target company in the same ...
